Description of Services 

At Panacea Vita, every session is designed to meet you where you are — whether you’re beginning your Pilates journey or deepening your practice. Our instructors tailor each experience to your individual needs, ensuring mindful movement, proper alignment, and a balanced connection between body and mind. 

By purchasing any of the services below, you acknowledge and agree that you are entering into a service agreement with Panacea Vita LLC, under which Panacea Vita agrees to render Pilates instruction and related wellness services as described. Sessions and packages are non-transferable and must be used in accordance with studio policies and Florida Statutes.  

Buyer acknowledges receipt of the current Studio rules applicable to facility and class use (scheduling, attire, cancellations/no-shows, equipment safety, etc.) and agrees to follow them. Studio may update rules reasonably; current rules will be provided upon request and posted at the Studio/website. 

Private (Single) Session 

A one-on-one session offering fully personalized instruction and programming. 
Ideal for those seeking customized guidance, post-rehabilitation support, or focused progression toward specific goals. Each session is designed around your individual body mechanics and may include work on the Reformer, Cadillac, Chair, or Mat. 

Duet Session 

Train alongside a partner while still receiving individualized attention. 
Perfect for friends, spouses, or training partners with similar fitness levels and goals. Duet sessions provide a motivating and cost-effective way to enjoy the benefits of personalized Pilates instruction. 

Trio Session 

A small-group experience (up to three participants) that combines individualized feedback with group energy. 
Trio sessions blend reformer, tower, or mat work to create dynamic, balanced movement while maintaining the precision and focus of classical Pilates. 

Group Classes 

Our group classes bring the community together through guided movement, rhythm, and breath. 
Taught in a supportive and encouraging environment, these classes range from foundational to advanced levels, helping participants build strength, flexibility, posture, and body awareness. 
Class formats may include: 

• Reformer Flow 

• Mat & Core 

• Stretch & Restore 

• Pilates for Athletes 

• Balance & Alignment  

Terms: 

The initial package term equals the package activation window: 30 days from first use (Start Date: ____; End Date: ____). The initial term does not exceed 36 months. There is no automatic renewal; to continue services, Client may purchase a new package, which creates a new 30-day term. A renewal may not be executed or paid more than 60 days before a prior term ends. 

No Lifetime or Perpetual Membership: 

Studio does not represent that any membership or contract is for a lifetime or perpetual term, nor that services or facilities are available for an indefinite term.

Late Cancel and No Show Policy: 
At Panacea Vita Integrative Health & Pilates Studio, we value your commitment to your fitness journey and the time our instructors invest. To ensure a fair and efficient class scheduling process, we have implemented the following policies. 

Late Cancel Policy: 
Cancellations within 12 Hours: 
For single-class or class package holders, any cancellation within 12 hours of the scheduled class will result in a loss of one class credit. 
Unlimited members who cancel a class within 12 hours of the scheduled time will be subject to an $8 late cancellation fee. 

No-Show Policy: 
Class Package Holders who don’t show for a scheduled class will lose the credit for such class from their package. 
Unlimited Members who don’t show for a scheduled class will be charged a $12 no-show fee. 

This policy helps us maintain a fair and consistent experience for all our members and ensures that class spots are utilized effectively. 
We understand that unforeseen circumstances can arise, and we appreciate your understanding and cooperation with our late-cancellation and no-show policies, as they help us continue providing high-quality Pilates classes and services.

Late Arrival Policy: 
At Panacea Vita Integrative Health & Pilates Studio, we strive to provide a positive, on-time class experience for all our members. To ensure the smooth flow of our classes and minimize disruptions, we have implemented the following policy: 
Members may join the class up to 5 minutes after the scheduled start time. Studio doors will close 5 minutes after the scheduled starting time and no entries will be allowed. Members who are not able to join their scheduled class in time will be considered as a no-show. 
This policy is essential to maintain the integrity of our classes and respect the time of both our instructors and fellow members. 
We understand that punctuality can sometimes be a challenge and we appreciate your cooperation and understanding of our late arrival policy, as it helps create a positive and seamless experience for everyone in our Pilates classes. 

Notice Address 

All notices from Buyer must be in writing and delivered by: (i) personal delivery, (ii) certified mail, return receipt requested, or (iii) email with confirmation: info@panaceavita.com, to the notice address: 1570 Boulevard of the Arts, Sarasota, FL, 34234  

Acknowledgement Of Risk 
I understand that participation in Pilates sessions, whether private or group, at Panacea Vita involves physical movement and exercise which may cause injury. I acknowledge that I am voluntarily participating in these sessions with full knowledge of the risks involved, including but not limited to muscle 
soreness, strains, sprains, falls, or other injuries that may occur as a result of participation. 
I affirm that I am in good physical condition and do not suffer from any known disability or medical condition which would prevent or limit my participation in physical activities. If I have any health concerns, I affirm that I have consulted with a physician before participating. 

Release of Liability  
In consideration of being allowed to participate in Pilates classes and use the facilities at Panacea Vita, I hereby release, waive, and discharge the studio, its owners, instructors, employees, volunteers, and agents from any and all liability for injury, loss, or damage resulting from my participation, including but not limited to negligence, accidents, or injuries occurring on the premises or during any off-site events or classes. 

Assumption of Responsibility 

I accept full responsibility for my own health and well-being. I will inform the instructor of any injuries, limitations, or health conditions before the class. I agree to follow all instructions, use equipment safely, and stop any activity that causes discomfort or pain. 

Medical Representation  
I confirm that I am in good health and assume full responsibility for my use of the facility. Information shared by Panacea Vita is based on the experiences of those involved and does not intend to state any treatment success, cures, or to deter you in any way from seeking medical advice from your health care provider. Do not disregard professional medical advice or delay in seeking professional advice because of something you heard from us or read on the website. Information provided by Panacea Vita LLC and on the website, and the use of any products or services purchased from our website by you, DOES NOT create a doctor-patient relationship between you and any of the physicians affiliated with us and the website. The Food and Drug Administration has not evaluated information and statements regarding dietary supplements, and they are not intended to diagnose, treat, cure, or prevent any disease.  

General Terms  
This waiver is binding upon me and my heirs, executors, personal representatives, and assigns. If any portion of this waiver is deemed invalid, the remainder shall remain in full force and effect. 

STATUTORY DISCLOSURES  

YOU MAY CANCEL THIS CONTRACT WITHOUT PENALTY OR FURTHER OBLIGATION WITHIN 3 DAYS, EXCLUDING HOLIDAYS AND WEEKENDS, OF ITS MAKING BY MAILING OR DELIVERING WRITTEN NOTICE TO THE HEALTH STUDIO. UPON SUCH NOTICE, ALL MONEYS PAID SHALL BE REFUNDED WITHIN 30 DAYS, EXCEPT THE STUDIO MAY RETAIN AN AMOUNT CALCULATED BY DIVIDING THE TOTAL CONTRACT PRICE BY THE NUMBER OF COMPLETE DAYS IN THE CONTRACT TERM (OR, IF APPLICABLE, THE NUMBER OF SCHEDULED OCCASIONS SERVICES ARE TO BE RENDERED) AND MULTIPLYING BY THE NUMBER OF COMPLETE DAYS THAT HAVE PASSED SINCE THE MAKING OF THE CONTRACT (OR BY THE NUMBER OF OCCASIONS THAT SERVICES HAVE BEEN RENDERED). 

IF THE CONTRACTING BUSINESS LOCATION GOES OUT OF BUSINESS OR MOVES ITS FACILITIES MORE THAN 5 DRIVING MILES FROM THE LOCATION DESIGNATED IN THIS CONTRACT AND FAILS TO PROVIDE, WITHIN 30 DAYS, A FACILITY OF EQUAL QUALITY WITHIN 5 DRIVING MILES AT NO ADDITIONAL COST, YOU MAY CANCEL AND RECEIVE A REFUND. YOUR WRITTEN NOTICE OF CANCELLATION AUTOMATICALLY TERMINATES YOUR OBLIGATION TO ANY ASSIGNEE OF THIS CONTRACT. IF THE DEPARTMENT DETERMINES A REFUND IS DUE, IT SHALL BE AN AMOUNT COMPUTED BY DIVIDING THE CONTRACT PRICE BY THE NUMBER OF WEEKS IN THE CONTRACT TERM AND MULTIPLYING BY THE NUMBER OF WEEKS REMAINING. A REFUND WILL BE ISSUED WITHIN 30 DAYS AFTER STUDIO RECEIVES YOUR NOTICE. (A BUSINESS IS NOT “OUT OF BUSINESS” WHEN TEMPORARILY CLOSED FOR REPAIRS/RENOVATION: UPON SALE, FOR NOT MORE THAN 14 CONSECUTIVE DAYS; OR DURING OWNERSHIP, FOR NOT MORE THAN 7 CONSECUTIVE DAYS AND NOT MORE THAN TWO 7-DAY PERIODS IN A CALENDAR YEAR.) 

IF THE HEALTH STUDIO REQUIRES IDENTIFICATION FOR ENTRY OR USE OF SERVICES, THE STUDIO WILL PROVIDE YOU THE MEANS OF SUCH IDENTIFICATION. 

YOU MAY CANCEL THIS CONTRACT IF YOU DIE OR BECOME PHYSICALLY UNABLE TO AVAIL YOURSELF OF A SUBSTANTIAL PORTION OF THE SERVICES USED FROM THE COMMENCEMENT OF THE CONTRACT UNTIL THE TIME OF DISABILITY. THE REFUND WILL EQUAL THE CONTRACT PRICE DIVIDED BY THE NUMBER OF WEEKS IN THE CONTRACT TERM, MULTIPLIED BY THE NUMBER OF WEEKS REMAINING. THE STUDIO MAY REQUIRE PROOF OF DISABILITY OR DEATH. A PHYSICAL DISABILITY IS ESTABLISHED BY A CERTIFICATION FROM A PHYSICIAN LICENSED UNDER CH. 458, 459, 460, OR 461, WITHIN THE PHYSICIAN’S SCOPE OF PRACTICE. A REFUND WILL BE ISSUED WITHIN 30 DAYS AFTER STUDIO RECEIVES YOUR NOTICE. 

THE INITIAL CONTRACT TERM WILL NOT EXCEED 36 MONTHS AND MAY ONLY BE RENEWED ANNUALLY. A RENEWAL CONTRACT MAY NOT BE EXECUTED, NOR THE FEE PAID, MORE THAN 60 DAYS BEFORE THE PREVIOUS CONTRACT EXPIRES. 

DISCLOSURE: SHOULD YOU (THE BUYER) CHOOSE TO PAY FOR MORE THAN 1 MONTH OF THIS AGREEMENT IN ADVANCE, BE AWARE THAT YOU ARE PAYING FOR FUTURE SERVICES AND MAY BE RISKING LOSS OF YOUR MONEY IN THE EVENT THIS HEALTH STUDIO AND/OR THIS BUSINESS LOCATION CEASES TO OPERATE. THIS HEALTH STUDIO IS NOT REQUIRED BY FLORIDA LAW TO PROVIDE ANY SECURITY, AND THERE MAY NOT BE OTHER PROTECTIONS PROVIDED TO YOU SHOULD YOU CHOOSE TO PAY IN ADVANCE. 

IF THE HEALTH STUDIO GOES OUT OF BUSINESS, YOU ARE ADVISED TO CONTACT THE FLORIDA DEPARTMENT OF AGRICULTURE AND CONSUMER SERVICES WITHIN 60 DAYS FOR INFORMATION 

Buyer acknowledges receiving: (i) a copy of this signed contract; (ii) the current Studio rules; and (iii) information on how to deliver written notices.
